These Terms govern access to DataRoom One. By creating an account or using the service, you agree to them and confirm that you can bind the organization you represent. You must be at least 18 years old.

DataRoom One provides secure data rooms, document organization, guest access, activity records, analytics, watermarking, and notifications. Features may change as the product improves. We will not materially reduce a paid plan's core functionality without reasonable notice.

Provide accurate information, protect credentials, and promptly report suspected unauthorized access. You are responsible for account activity and for configuring room permissions before sharing links.

You keep ownership of content you upload. You give us a limited right to host, process, reproduce, and transmit it only to provide, secure, and support the service. You must have the rights and lawful basis needed to upload and share it.

Do not upload unlawful or malicious material, violate privacy or intellectual-property rights, bypass security, probe the service without permission, disrupt other users, or use DataRoom One to send spam or facilitate fraud.

Paid access begins with a three-day trial that requires a payment method. Unless cancelled before the trial ends, the selected plan renews monthly at the price shown at checkout. Taxes may apply. You can cancel future renewals through billing settings; prior charges are non-refundable except where law requires otherwise.

Our Privacy Policy explains controller activities. When we process customer content on your behalf, the Data Processing Addendum applies. You remain responsible for your instructions, notices, permissions, and lawful bases.

Each party will protect the other's non-public information using reasonable care and use it only for the relationship. This does not cover information already known, independently developed, lawfully received, or public without breach.

You may stop using the service at any time. We may suspend access for security threats, non-payment, unlawful use, or material breach, using notice where practical. On termination, access ends and content is handled under our retention practices and DPA.

We work to keep DataRoom One reliable and secure, but the service is provided as available. To the extent permitted by law, we disclaim implied warranties and do not guarantee uninterrupted operation or that using a data room will complete a transaction.

To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages. DataRoom One's aggregate liability is limited to fees paid for the service during the 12 months before the event giving rise to the claim. Mandatory statutory liability is not excluded.

We may update these Terms and will provide reasonable notice of material changes. Continued use after the effective date means the updated Terms apply. Questions can be sent to legal@dataroom.one.
